Share issues

On 28 September 2011, the shares were consolidated on a 10:1 basis, and series A, B, C, D, E and F were consolidated into one series G.

Following the share consolidation, share capital consisted of 167 665 596 ordinary bearer shares.

On 29 September 2014, an Extraordinary General Meeting of WIKANA S.A. adopted resolution 4/VIII/2014 regarding an increase of the Company’s share capital by PLN 6 496 476.20 (in words: six million four hundred and twenty six thousand four hundred seventy six zlotys 20/100, i.e. from PLN 33 533 119.20 (in words: thirty three million five hundred and thirty thousand one hundred nineteen zlotys 20/100) to PLN 40 029 595.40 (in words: forty million twenty nine thousand and five hundred ninety five zlotys 40/100), through the issue of 32 482 381 ordinary bearer shares series H, with a nominal value of PLN 0.20 each, with the issue being carried out as a private subscription. The change in the amount and structure of the Company’s share capital was registered by the District Court for Lublin-Wschód in Lublin, based in Świdnik, 6^th Commercial Division of the National Court Register, on 18 September 2014.

On 24 November 2014, the District Court for Lublin-Wschód in Lublin, based in Świdnik, 6^th Commercial Division of the National Court Register, registered another change in the amount and structure of WIKANA S.A.’s share capital, which occurred on the basis of an Extraordinary General Meeting resolution adopted on 5 November 2014 (more: current report 90/2014).

Currently, the Company’s share capital amounts to PLN 40 029 594.00 and is divided into: 16 766 559 ordinary bearer shares series G and 3 248 238 ordinary bearer shares series H.
